Applicable law and jurisdiction

These Terms and Conditions of Use, the rights and remedies provided hereunder, and any and all claims and disputes related hereto, their interpretation, or the breach, termination or validity thereof, the relationships which result from or pursuant to these Terms and Conditions of Use, or any related transaction or purchase, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of the State of California, United States of America, without respect to its conflict of laws principles.

Subject to any applicable law, all disputes between you and Brasco Enterprises shall only be resolved on an individual basis and you shall not have the right to bring any claim against Brasco Enterprises as a plaintiff or a member of a class, consolidated or representative actions (or any other legal proceedings conducted by a group or by representatives on behalf of others).

In the event of any dispute, claim, question, or disagreement arising from or relating to this agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in Fresno, California, United States of America, in accordance with the provisions of its Commercial Arbitration Rules.

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by expedite arbitration administered by the American Arbitration Association of Fresno, California, United States of America, in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
